Epstein Becker & Green has received the 2006 award for Private Equity Deal of the Year at the Second Annual Americas Awards held by the International Financial Law Review, for the Firm's advisory role in the acquisition of HCA, Inc. for $33 billion in 2006. The Nashville, Tenn.-based health care services company was acquired by a consortium including Bain Capital, Kohlberg Kravis Roberts & Co., Merrill Lynch Global Private Equity and HCA founder Dr. Thomas F. Frist, Jr.
IFLR noted that the HCA buyout not only ranked among the world's largest, but was also the first major buyout sponsored by a target's largest shareholder. A special committee, as a result, had to be established to step in and manage the takeover.
EBG lawyers Steven B. Epstein, Lynn Shapiro Snyder and Mark E. Lutes led the Firm's team advising HCA.
