Memphis, TN (June 15, 2023) Epstein Becker Green (EBG) has announced the hiring of three new Members of the Firm in the Health Care and Life Sciences practice across two offices in the Southern United States. Hemant Gupta and W. Jeff McGoff join the firm in Memphis, while Adelee Traylor joins EBG in Dallas. The trio brings a combined breadth of experience in mergers and acquisitions, technology and data contracting, and intellectual property transactions across the health care industry.

Gupta’s practice focuses on a broad range of intellectual property and technology matters, including complex software agreements (such as cloud computing, SaaS, PaaS, enterprise agreements, blockchain, and smart contracts), technology licensing, foreign and domestic patent and trademark prosecution, e-commerce, data security, social media, infringement analysis, commercialization agreements, and enforcement of intellectual property assets.  He was previously the Intellectual Property Practice Group Leader at an AmLaw 200 firm and regularly counsels on intellectual property and technology aspects of public and private corporate transactions.

“Work around emerging technologies, data, and intellectual property has been on a remarkable upward trajectory for the better half of three years, and most notably in the health care industry,” Gupta said. “We were seeking a national platform that could support the growth of our practices while also offering the resources and connections to take our client servicing capabilities to another level, and Epstein Becker Green is the best firm to provide that.”

McGoff’s practice includes mergers and acquisitions, private equity transactions, venture capital, and corporate and partnership taxation. With a specific focus on assisting pharmaceutical, medical device, and health care companies, he has counseled companies in transactions across the nutritional products, manufacturing, restaurant, and advisory industries, among many others. McGoff has been recognized by The Best Lawyers in America in Mergers and Acquisitions Law (2013–2023).

Traylor focuses her practice on counseling clients in all areas of intellectual property and technology matters. Her transactional work includes structuring and negotiating international and domestic technology and intellectual property transactions, including technology transfer and licensing arrangements, outsourcing transactions, research and development activities, and joint ventures. Traylor has worked with technology clients of all sizes, including emerging companies, universities, research institutions, and Fortune 500 companies across a broad range of industries, including medical device, software, biotechnology, consumer products, data science, e-commerce, and manufacturing.

“Hemant, Jeff, and Adelee each bring a passion for supporting companies at critical junctures around structuring their business, transacting deals, and developing and securing company assets. Their outstanding transactional track record, particularly in health care, speaks for itself,” said Mark E. Lutes, Chair of EBG’s Board of Directors and a Member of the Firm. “With their combined transactional experience that includes everything from emerging tech companies to some of the largest health care entities, this trio will undoubtedly elevate our practice’s capabilities in the South, the Southeast, and nationally.”

The hiring of Gupta, McGoff, and Traylor marks continued growth in the Southern United States for EBG in its dual focuses of health care and employment law. The three attorneys join on the heels of a wave of hires in Nashville this past year: Heath Edwards and Jeb Gerth in the Employment, Labor & Workforce Management practice, and attorneys Ryan Cochran and John Tishler joined the Health Care and Life Sciences practice.

“All three of these attorneys are focused legal practitioners with a reputation for performing at the highest level,” said Chris Dunn, Managing Member of EBG’s Nashville office. “Hemant and Jeff, who will be joining us in the Memphis office, are also important figures in the Tennessee legal community who place great emphasis on supporting the state both professionally and personally.”
