Epstein Becker Green (EBG) represented Covenant Health, a nonprofit health system in Tennessee, during the acquisition of substantially all the assets of Provision CARES Proton Therapy Center Knoxville (PCPTK), a proton therapy and cancer treatment center in Knoxville, TN. The acquisition expands upon Covenant Health’s oncology service line through its Thompson Cancer Survival Center.

PCPTK and its affiliates have been operating in bankruptcy since December 2020; therefore, the transaction was consummated through Chapter 11. EBG guided Covenant Health through a competitive sale process, successfully tackled objections by interested parties, and obtained a court order approving the sale and transferring the purchased assets free and clear of liens and claims. The purchase price was $45.25 million.
