TANYA VANDERBILT CRAMER is a Senior Counsel in the Health Care and Life Sciences and Litigation practices, in the firm's Washington, DC, office. Her practice focuses on antitrust counseling and litigation primarily for clients in the health care industry.

Ms. Cramer's experience includes:

  • Assisting hospitals, insurers, and other clients in obtaining federal antitrust agency approval for proposed mergers and acquisitions, including, when required, coordinating economic analyses and efficiency studies, making presentations to the agencies, negotiating terms of Second Requests for information, and preparing cases for litigation
  • Advising provider networks and insurers regarding various antitrust issues that arise in the context of network formation and contract negotiations
  • Counseling clients in the health care industry on a variety of antitrust issues, including financial and clinical integration; exclusive contracting; boycotts; issues raised when hospitals close their medical staffs; antitrust issues faced by state-owned hospital systems; issues relating to joint ventures, joint operating agreements, and mergers; and issues arising under the Robinson-Patman Act
  • Litigating a variety of antitrust cases concerning health care industry or other industry matters at the trial and appellate levels
  • Counseling clients on the premerger notification requirements under the Hart-Scott-Rodino Act, including, when necessary, reviewing transactions to determine whether filings are necessary, working with attorneys in the Premerger Notification Office of the Federal Trade Commission to resolve close cases and to obtain confirmation when no filing is required, and preparing filings
