Biography

PAUL D. GILBERT is a Member of the Firm in the Health Care & Life Sciences and Corporate Services practices, in the Nashville and Washington, DC, offices of Epstein Becker Green.

Mr. Gilbert regularly represents a broad range of health care provider and private equity clients in transactional, corporate, governance, compliance oversight, strategic, and change and crises management matters. Most of these providers are growing rapidly through acquisitions. In particular, he represents publicly traded, privately owned, governmental, and private-equity-backed providers, both for-profit and tax-exempt, including hospitals and health systems, behavioral and addiction services providers, physician practice management companies, ambulatory care facilities (including ambulatory surgery center and diagnostic imaging companies), post-acute providers (including nursing homes and home health agencies), durable medical equipment companies, and various other health care providers across the continuum of care, from free-standing emergency departments to hospice and palliative care organizations. He also counsels health care boards of directors on corporate governance, strategic alternative considerations, compliance oversight, and fiduciary duty matters.

Before joining Epstein Becker Green, Mr. Gilbert served as the Executive Vice President (EVP), Chief Legal Officer (CLO), and Corporate Governance Officer of a leading, Fortune 500 health system for more than 10 years. During this time, he also served as a member of the company’s executive leadership team and as the company’s Chief Development Officer for almost three years. Among other things, Mr. Gilbert was responsible for the negotiation and operationalization of an innovative, equity joint venture between this publicly traded system and a leading academic medical center to jointly acquire, operate, and implement a national quality program across a system of hospitals and their affiliated provider organizations.

Before going in-house, Mr. Gilbert was a partner and member of the board of directors of a Nashville-based law firm, where he represented a broad range of rapidly growing health care providers in hundreds of mergers, acquisitions, divestitures, and joint ventures throughout the United States and the Caribbean.

In 2014, Mr. Gilbert was selected as a Nashville Health Care Council Fellow. The Fellows program engages industry leaders in clearly defining health care’s greatest challenges and exploring new strategies to meet the issues facing the U.S. health care system. Before leaving private practice to serve as the EVP and CLO of a large, publicly traded health system, Mr. Gilbert was selected by his peers for inclusion in The Best Lawyers in America© in Healthcare Law (2006-2007) and Mergers & Acquisitions Law (2007) and was included in Chambers USA: America's Leading Lawyers for Business (2004-2006) in the area of Corporate Mergers and Acquisitions.
