Adjustments to the reporting thresholds under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (“Act”) will become effective on February 27, 2020. At that time, the minimum size-of-transaction threshold goes up to $94 million from its current threshold of $90 million. As a result of that change, starting on February 27, 2020, transactions valued below $94 million (as of the time of closing) will not be reportable. The size-of-parties thresholds will also increase from $18 million and $180 million to $18.8 million and $188 million, respectively, and transactions valued in excess of $940.1 million will be reportable regardless of the size of the parties. On January 14, 2020, the civil penalties for violations of the Act increased to a maximum of $43,280 per day.
