Epstein Becker Green guided a regional orthopedic care practice through successfully concluding a deal that saw the client join a large multi-state management platform. The deal involved the sale and contribution of our client’s nonclinical assets to the platform and the sale of goodwill of certain of the physician owners to the platform. In addition, the deal included new employment agreements for both the former owners and other employed physicians and memorialized the complex compensation structure our client previously used with its medical providers. As part of the purchase price, our client’s physicians received rollover equity in the platform.
