Memphis, TN (June 15, 2023) Epstein Becker Green (EBG) has announced the hiring of three new Members of the Firm in the Health Care and Life Sciences practice across two offices in the Southern United States. Hemant Gupta and W. Jeff McGoff join the firm in Memphis, while Adelee Traylor joins EBG in Dallas. The trio brings a combined breadth of experience in mergers and acquisitions, technology and data contracting, and intellectual property transactions across the health care industry.

Gupta’s practice focuses on a broad range of intellectual property and technology matters, including complex software agreements (such as cloud computing, SaaS, PaaS, enterprise agreements, blockchain, and smart contracts), technology licensing, foreign and domestic patent and trademark prosecution, e-commerce, data security, social media, infringement analysis, commercialization agreements, and enforcement of intellectual property assets.  He was previously the Intellectual Property Practice Group Leader at an AmLaw 200 firm and regularly counsels on intellectual property and technology aspects of public and private corporate transactions.

McGoff’s practice includes mergers and acquisitions, private equity transactions, venture capital, and corporate and partnership taxation. With a specific focus on assisting pharmaceutical, medical device, and health care companies, he has counseled companies in transactions across the nutritional products, manufacturing, restaurant, and advisory industries, among many others. McGoff has been recognized by The Best Lawyers in America in Mergers and Acquisitions Law (2013–2023).

Traylor focuses her practice on counseling clients in all areas of intellectual property and technology matters. Her transactional work includes structuring and negotiating international and domestic technology and intellectual property transactions, including technology transfer and licensing arrangements, outsourcing transactions, research and development activities, and joint ventures. Traylor has worked with technology clients of all sizes, including emerging companies, universities, research institutions, and Fortune 500 companies across a broad range of industries, including medical device, software, biotechnology, consumer products, data science, e-commerce, and manufacturing.
