Members of our Real Estate Group have extensive experience structuring complex real estate transactions across the United States and abroad for developers, lenders, owners and landlords, tenants and subtenants, contractors and subcontractors, foreign and institutional investors, governments, health care organizations, real estate investment trusts (REITs), and real estate management companies. We provide comprehensive real estate services relating to:

  • Acquisitions, dispositions, and the development of commercial office, hotel, industrial and warehouse, medical office, mixed-use, residential, restaurant, and retail properties

Attorneys in our Real Estate Group represent clients in every stage of the acquisition, sale, or lease (and sublease) transaction. For example, our services include:

  • Performing due diligence
  • Structuring the deal, and forming the appropriate legal entity to own or sell the asset, so as to further our clients' business objectives while minimizing their tax exposure
  • Preparing, reviewing, and negotiating the purchase/sale contract or lease (including space, net, ground, equipment, or whole property leases and sale-leaseback transactions), amendments and modifications, consents, assignments, and other necessary documents
  • Coordinating financing and government approvals
  • Handling the closing

We also can provide advice on incorporating the LEED® (Leadership in Energy and Environmental Design) standards into leases, and advise clients on their rights and obligations under such "green" building leases. Additionally, when contract or lease disputes arise, Epstein Becker Green's attorneys work with our clients to resolve and, if necessary, litigate breach, collection, and eviction matters.

Representative Matters

  • Negotiated the $22 million sale of a real estate portfolio consisting of four apartment buildings previously owned by a hospital
  • Successfully closed a $15 million transaction for Capital SeniorCare Ventures, an affiliate of Capital Funding Group, involving the acquisition of four nursing homes in Indiana; the transaction had a number of real estate challenges, including uncleared title issues
  • Represented a multistate-based financial services company in the negotiation of a $4 million lease in a corporate headquarters relocation matter
  • Closed the sale of 14 nursing homes by Arkansas-based Golden Living to Capital SeniorCare Ventures, LLC; the purchase price was not disclosed
  • Represented one of the largest urology practices in the Southeast United States in the purchase of real estate for the construction of a new $1.1 million medical office building
  • Successfully closed an asset sale for the owner of nursing homes in Pennsylvania to a new operator and landlord; the purchase price was not disclosed
