Jeffrey G. Kramer, Tax and Finance Veteran, Joins Epstein Becker Green

PRINCETON, NJ (SEPTEMBER 14, 2015)Epstein Becker Green (EBG) is pleased to announce that Jeffrey G. Kramer, a tax, corporate, and finance attorney who has worked in both the private and public sectors and has extensive experience with clients in the health care industry, has joined as a Member of the Firm in the Health Care and Life Sciences and Corporate Services practices. Mr. Kramer will be based in the firm’s offices in Newark and Princeton (which will officially open later this month).

Mr. Kramer joins EBG from DeCotiis, FitzPatrick & Cole, LLP, where he concentrated on taxation, business law, and finance. He acted as special tax counsel in business transactions, including cross-border acquisitions. Mr. Kramer has closed multiple M&A transactions with purchase prices in excess of $100 million. In the field of private sector finance, he acts as company counsel and lender’s or investor’s counsel in various types of equity and debt offerings. In the public sector, Mr. Kramer acts as bond counsel, underwriter’s counsel, and special tax counsel in various types of transactions, including hospital, university, housing, and other public and private projects, with several transactions valued well in excess of $1 billion.

At EBG, Mr. Kramer will focus his practice on the following:

  • Providing tax advice on business structuring, operations, and transactions
  • Prosecuting private letter ruling requests
  • Representing parties before the Internal Revenue Service and the New Jersey Division of Taxation
  • Advising clients in connection with the selection of a business structure and the preparation of the appropriate form of agreement
  • Counseling on the formation and dissolution of businesses, financing alternatives, leasing matters, purchases and sales of businesses, licensing, distribution, employment contracts, non-ERISA employee benefit plans, noncompete agreements, and confidentiality agreements
