ADAM D. SO is a Member of the Firm in the Corporate Services practice. Based in the firm's New York office, Mr. So focuses on corporate and securities matters, providing strategic advice and legal guidance on a diverse range of transactions, including outsourcing.

Mr. So:

  • Represents privately held companies and publicly held companies (including foreign private issuers) in securities offerings and other types of financing transactions
  • Represents buyers and sellers in all stages of acquisitions, divestitures, mergers, and related transactions
  • Advises on and prepares Securities Exchange Act of 1934 filings, including periodic, quarterly, and annual reports
  • Advises clients on all aspects of corporate governance, including compliance with U.S. securities laws and the requirements of the New York Stock Exchange and Nasdaq
  • Structures and negotiates various other types of business transactions, including licensing transactions
  • Provides organizational assistance to startups and established businesses

With respect to outsourcing transactions:

  • Structures and negotiates core business, back office and information technology related outsourcing arrangements
  • Structures joint ventures related to future outsourcing projects
  • Advises on renewals and restructuring of existing outsourcing arrangements
